This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Swiftcell ("we", "our", or "us") for the use of the Swiftcell Excel Add-in (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on devices where you have a valid Microsoft Excel installation, solely for your personal or internal business purposes, subject to the terms of this EULA and any applicable subscription plan.
2. Subscription & Access
Certain features of the Software require an active paid subscription. A free trial period may be offered to new users. After the trial expires, a paid subscription is required to continue using premium features. Subscription details, including pricing and plan features, are available within the Software and on our website.
3. Restrictions
You may not: (a) copy, modify, or distribute the Software; (b) reverse engineer, decompile, or disassemble the Software; (c) rent, lease, lend, sell, or sublicense the Software; (d) use the Software for any unlawful purpose; (e) remove or alter any proprietary notices, labels, or marks on the Software; or (f) use the Software in a manner that interferes with or disrupts the integrity or performance of the Software or its related systems.
4. Intellectual Property
The Software, including all code, design, documentation, and branding, is the property of Swiftcell and is protected by applicable intellectual property laws. This EULA does not grant you any ownership interest in the Software, only a limited right of use in accordance with its terms.
5. User Content
You retain ownership of all content you create and store through the Software (formatting templates, number formats, range blocks, and similar items). By sharing content publicly through the content library, you grant other Swiftcell users a non-exclusive licence to use that content within Microsoft Excel. You may remove publicly shared content at any time.
6. Privacy & Data
Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. The Software requires an internet connection and communicates with our cloud services for authentication, data storage, and payment processing.
7. Third-Party Services
The Software integrates with third-party services including Supabase (authentication and data storage) and Stripe (payment processing). Your use of these services is subject to their respective terms and privacy policies.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SWIFTCELL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
This EULA is effective until terminated. We may terminate this EULA at any time if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software. Sections 4, 8, 9, and 12 survive termination.
11. Updates & Modifications
We may update the Software and this EULA from time to time. Continued use of the Software after changes to this EULA constitutes your acceptance of the revised terms. We will notify you of material changes by posting the updated EULA within the Software.
12. Governing Law
This EULA is governed by the laws of Australia. Any disputes arising from this EULA or the Software shall be resolved in the courts of Australia.
