Terms of Service

These Terms of Service ("Terms") govern your use of the Swiftcell Excel Add-in (the "Service") provided by Swiftcell ("we", "our", or "us"). By using the Service, you agree to these Terms.

1. The Service

Swiftcell is a Microsoft Excel add-in that provides productivity tools, a reusable content library, and formatting utilities for financial professionals. The Service runs within the Excel desktop application and communicates with our cloud services for authentication, storage, and billing.

2. Accounts & Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and promptly update it if it changes.

3. Free Trial & Subscriptions

New users may receive a free trial period. After the trial expires, a paid subscription is required to continue using premium features. Subscription plans and pricing are displayed on the Pricing page and may change with notice. All prices are in USD unless otherwise stated.

Subscriptions renew automatically at the end of each billing period. You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period.

4. Payment

Payments are processed by Stripe. By subscribing, you authorise us to charge your chosen payment method. If payment fails, we may suspend access to premium features until payment is resolved. Refunds are handled on a case-by-case basis — contact us if you believe a charge was made in error.

5. Your Content

You retain ownership of all content you create and save through the Service (formatting templates, number formats, range blocks, etc.). By sharing content publicly through the content library, you grant other Swiftcell users a non-exclusive licence to use that content within Excel. You may remove publicly shared content at any time.

6. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to reverse-engineer or modify the Service; interfere with or disrupt the Service or its infrastructure; share your account credentials with others; or upload content that infringes third-party intellectual property rights.

7. Intellectual Property

The Service, including its code, design, branding, and documentation, is owned by Swiftcell and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8. Availability & Updates

We strive to keep the Service available but do not guarantee uninterrupted access. We may update, modify, or discontinue features at any time. We will provide reasonable notice of material changes that affect your use of the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Swiftcell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will meet your specific requirements, that results obtained will be accurate, or that the Service will be error-free.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and we may delete your data after a reasonable retention period.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or the Service shall be resolved in the courts of Australia.
